Business Broker
I’ve always wondered what a business broker really does, most of the time I see them being portrayed on television and on movies, not understanding what they really do.
A business broker is a person of firm that acts as an intermediary between sellers and buyers of small businesses. They are also called business transfer agents, or intermediaries; they assist buyers and sellers of privately held small businesses in the buying and selling process. They estimate the value of the business, advertise it for sale, handle initial potential buyer interviews, discussions and negotiations with prospective buyers, and facilitate the progress of due diligence investigation.
Whether the person is a buyer or seller, agency relationships in business ownership transactions involve the representation by a business broker of the selling principal. The principal broker then becomes the agent(s) of the principal, who is the broker’s client.
The broker usually provides a conventional full-service, commission-based brokerage relationship under a signed agreement with a seller or “buyer representation” agreement with a buyer. In most states, this creates an agency relationship with fiduciary obligations. Some state have statutes that define and control the representation and have specific business broker licensing requirements.
Broker services vary widely depending on the practice of the broker, common services include assisting clients with establishing MPSP Value, developing a Information Memorandum on the company, conduct buyer searches, exposure, screen buyers for completing a purchase, coordinating negotiations, providing overall deal management, maintain confidentiality of a sale, consulting for a fee. One of the biggest services provided by brokers is to allow owners to stay focused on their business during the sales process, which usually takes 6-12 months to finish.
There are different types of ways a broker can be compensated, by hourly, retainer, or success fee (commission upon closing). A broker provides many different types of services. The most common compensation is a success fee commission where the payment of the commission to the brokerage is contingent on the satisfactory buyer for the business for sale, a successful negotiation of the purchase contract, or the settlement of the transaction and exchange of money between the buyer and the seller. In the U.S., the commission fee can be anywhere between 5-12%. If the transaction is small, the commission will be small.
Licensing of business brokers vary by state, with some states requiring licenses, and some others don’t. Some require licenses if the broker is commissioned but not requiring a license if the broker works on an hourly fee basis. State rules also vary in recognized licensees across state lines, especially national franchises. Some states like California require a broker license or law license in order to advertise a business owner on issues of sale. Canadian provinces require a real estate license in order to order to be a broker. The following states require a license to practice as a business broker, Arizona, Arkansas, California, Colorado, Florida, Georgia, Idaho, Illinois, Michigan, Minnesota, Nebraska, Nevada, Oregon, South Dakota, Utah, Wisconsin, and Wyoming.
